Arnold Bloch Leibler is seeking an experienced lawyer (5-7 years'+ PQE) to join its Restructuring and Insolvency practice, working on market-leading restructuring and workout transactions alongside some of Australia's most highly regarded practitioners.
You will work on sophisticated, high-profile matters for major corporations, financiers, private equity and special situation funds, private companies and family groups.
About the role
You will work on a broad range of restructuring and finance matters, including:
large solvent and insolvent restructuring and workout transactions, including drafting and negotiating standstill, forbearance and amendment agreements, and documenting formal and informal corporate restructures;
distressed debt and turnaround transactions, including recapitalisations, debt-for-equity conversions, and rescue finance facilities;
corporate and acquisition finance matters, including refinancings, asset-based lending, and structured finance transactions in a restructuring context;
safe harbour advisory work, assisting directors navigating personal liability protections;
stakeholder negotiations, intercreditor arrangements, and strategic advisory work;
complex cross-border and high-value transactions;
deeds of company arrangement and schemes of arrangement; and
general commercial and corporate transactions, including joint ventures, shareholder arrangements, business acquisitions, and distressed asset sales.
About the practice
The role sits within the firm's Banking & Finance practice, which advises across corporate, acquisition, property, and structured financings as well as solvent and insolvent restructurings and recapitalisations. The front-end transactional work is undertaken within the Banking & Finance practice rather than as part of a contentious insolvency or litigation function. Clients include borrowers and lenders, corporates (ASX-listed and private), private equity, hedge and special situation funds, and family offices.
About you
You will be a technically able lawyer with strong front-end transactional skills and a genuine interest in turnaround and restructuring, ideally developed in a banking and finance or corporate and commercial practice with meaningful exposure to restructuring and workout transactions.
You will bring:
5+ years' PQE in front-end transactional restructuring;
demonstrated experience drafting and negotiating restructuring documentation including debt restructuring agreements, standstill and forbearance arrangements, rescue finance facilities, deeds of company arrangement, schemes of arrangement, or recapitalisation documents;
sophisticated understanding of corporate and banking and finance law, as well as insolvency law;
strong drafting and negotiation skills;
excellent commercial acumen and a pragmatic, solutions-oriented approach to complex problems;
the ability to work effectively with major corporate clients, financiers, private equity sponsors, and other stakeholders in high-stakes and time-sensitive situations;
an interest in working closely with clients and within a lean, high-performing team; and
a commitment to building a long-term career in a leading Australian practice.
